Blackbox CRM and Messaging Channels Terms of Service
These Terms of Service (“Terms”) govern access to and use of the digital channels, customer service tools, messaging integrations, and related services operated by Blackbox.
By using these services, messaging our channels, submitting a form, accessing a portal, or continuing a digital interaction with Blackbox, the user agrees to these Terms and our Privacy Policy. When a quote, work order, contract, or specific commercial condition establishes different rules, that document will control the relevant transaction.
1. Service provider
The services are operated by:

In these Terms, “Blackbox,” “we,” “us,” “our,” or “the company” refers to STIPANOV VENTURE LIMITADA.
2. Scope of the services
These Terms apply to:
- The Blackbox customer relationship management system (“CRM”).
- Websites, forms, portals, and digital channels operated by Blackbox.
- Blackbox business accounts on WhatsApp, Instagram, Facebook, and Messenger.
- Integrations with Meta products, including APIs, permissions, webhooks, and messaging tools.
- Chatbots, automated assistants, and customer service tools used by Blackbox.
- Functions used to request information, quotes, follow-ups, bookings, support, and commercial communications.
The CRM may be used internally by authorized personnel and, where applicable, through limited access provided to customers, suppliers, or other authorized users.
3. Nature of the service
The digital services may be used to:
- Receive, classify, and answer inquiries.
- Register leads, customers, suppliers, and commercial opportunities.
- Manage requests for quotes, appointments, services, installations, deliveries, and follow-ups.
- Send confirmations, reminders, updates, and messages related to a request.
- Provide automated answers and transfer conversations to human personnel.
- Maintain customer service history within the CRM.
Digital channels are communication and support tools. They do not guarantee an immediate response and do not replace contractual documents, work orders, invoices, in-person technical diagnostics, or confirmations issued by authorized personnel.
The services are not intended for emergencies. In an urgent or safety-related situation, the user must contact the appropriate emergency or telephone services.
4. Automated assistants and human support
Some responses may be generated, selected, or assisted by a chatbot, automated rule, or artificial intelligence tool.
Automation may:
- Answer frequently asked questions.
- Request initial information.
- Classify or prioritize inquiries.
- Retrieve available statuses from our systems.
- Recommend the appropriate department or agent.
- Prepare drafts or suggestions for personnel.
Automated responses may contain errors, be incomplete, or fail to consider all circumstances. No bot response by itself constitutes an approval, warranty, diagnosis, final price, contractual acceptance, or binding commitment by Blackbox.
A user may request human assistance by writing “AGENT,” “REPRESENTATIVE,” “HUMAN,” or an equivalent request. Transfer is subject to business hours and staff availability.
5. Eligibility and authority
A person using functions that may create commercial obligations represents that they:
- Are at least 18 years old or otherwise have sufficient legal capacity.
- Will provide truthful, current, and complete information.
- Are authorized to act for a company or third party when applicable.
- Will not use an identity, account, telephone number, or profile without authorization.
When an interaction is initiated by a minor, any contract must be confirmed by a legal representative where required by applicable law.
6. Meta channels and third-party services
Blackbox uses services provided by Meta Platforms and its affiliates, including WhatsApp Business Platform, Instagram, Facebook, and Messenger.
Use of those channels is also subject to the applicable platform terms, policies, settings, and decisions. Blackbox does not control:
- Platform availability or continuity.
- Changes to APIs, permissions, limits, messaging windows, or features.
- Blocks, restrictions, suspensions, or errors attributable to third parties.
- How Meta processes information under its own policies.
- Connectivity, mobile data, or other charges incurred by the user.
An authorized integration with Meta does not mean that Meta sponsors, certifies, or guarantees Blackbox products or services.
7. Communications, consent, and opt-out
When a person starts a conversation, requests information, submits a form, or voluntarily provides contact details, they authorize Blackbox to respond and reasonably follow up on that request through the same channel or another agreed channel.
Promotional communications will only be sent when consent, authorization, or another lawful basis permitted by applicable law and platform policies exists.
A person may ask us to stop promotional communications by writing “STOP,” “UNSUBSCRIBE,” “CANCEL,” or any other unambiguous request.
After an opt-out request, Blackbox may continue sending messages strictly necessary to:
- Complete an ongoing purchase, service, appointment, or request.
- Communicate safety information or material changes.
- Meet legal, accounting, or contractual obligations.
- Confirm or manage the opt-out request itself.
Opting out of Blackbox messages does not deactivate or delete a Facebook, Instagram, Messenger, or WhatsApp account.
8. User-provided content
The user retains the rights they hold in messages, photographs, videos, audio, documents, and other content they submit.
By providing content to Blackbox, the user grants a limited, non-exclusive, royalty-free license, revocable to the extent permitted by the nature of the request, to:
- Receive, host, copy, process, and transmit the content.
- Display it to authorized personnel.
- Associate it with the corresponding CRM record.
- Answer the inquiry or provide the requested service.
- Retain it under the Privacy Policy and applicable legal obligations.
The user represents that they have the right to share the content and that it does not infringe third-party rights.
Users must not send passwords, authentication codes, full payment card numbers, banking credentials, illegal information, or sensitive data that is not needed for the requested service through chat.
9. Acceptable use
The user agrees not to use the services to:
- Conduct illegal, fraudulent, deceptive, or abusive activities.
- Impersonate another person or misrepresent an affiliation.
- Threaten, harass, discriminate against, or harm personnel or third parties.
- Send malware, harmful files, spam, or unauthorized bulk communications.
- Attempt unauthorized access to accounts, systems, databases, tokens, APIs, or information.
- Interfere with service operation, security, or availability.
- Scrape, collect, copy, or reuse data through unauthorized methods.
- Reverse engineer or bypass technical controls.
- Use automated responses to generate illegal content or dangerous instructions.
- Upload content that infringes intellectual property, privacy, or image rights.
Blackbox may limit or suspend an interaction when it detects misuse, a security risk, fraud, abuse, or a breach of these Terms.
10. Quotes, orders, appointments, and commercial conditions
Information provided through bots, messages, forms, or digital channels is preliminary unless Blackbox expressly confirms otherwise in writing.
A quote, order, installation, booking, or service becomes binding only when:
- It is issued or confirmed by authorized personnel.
- It includes the applicable scope, price, and conditions.
- It is accepted by the user where acceptance is required.
- Any stated payment, availability, or verification requirements are satisfied.
Prices, inventory, timelines, and availability may change before final confirmation. Photographs, descriptions, or simulations are illustrative where that is clear from context.
Deposit, cancellation, warranty, return, and refund rules will be stated in the applicable quote, invoice, work order, contract, or commercial policy. Nothing in these Terms limits non-waivable consumer rights.
11. Payments
When Blackbox enables digital payments:
- Payments may be processed by financial institutions or external providers.
- The user must provide accurate information and use an authorized payment method.
- Blackbox may not store complete payment method details.
- Applicable fees, taxes, or additional charges will be disclosed where required.
- A payment attempt does not automatically mean an order has been accepted if commercial confirmation is still pending.
Use of a payment provider is also subject to that provider’s own terms and policies.
12. Accounts and credentials
When a function requires an account or authenticated access, the user is responsible for:
- Maintaining the confidentiality of credentials.
- Using secure authentication mechanisms.
- Not sharing access with unauthorized persons.
- Promptly reporting suspected misuse.
- Keeping account information current.
Blackbox may require a password change, additional verification, or temporary suspension when there is a reasonable security risk.
13. Intellectual property
The CRM, websites, designs, text, trademarks, logos, databases, workflows, code, documentation, configurations, predefined responses, and other proprietary Blackbox materials are protected by applicable law.
Blackbox grants only a limited, revocable, non-exclusive, and non-transferable authorization to use available functions in accordance with these Terms.
Nothing in these Terms transfers rights in Blackbox, Meta, or other third-party trademarks, systems, or intellectual property.
14. Privacy and personal data
Personal data processing is governed by the Blackbox CRM and Messaging Channels Privacy Policy, which forms an integral part of these Terms.
Requests for access, correction, withdrawal, or deletion must be submitted under that Policy and Blackbox’s published data deletion instructions.
15. External links and integrations
The services may contain links to or integrate with external platforms. Blackbox does not control or guarantee the content, practices, availability, security, or policies of those third parties.
The user is responsible for reviewing applicable conditions before using an external service or providing additional information.
16. Availability, maintenance, and changes
Blackbox seeks to keep the services available but does not guarantee uninterrupted, error-free, or permanent compatibility with every platform.
We may:
- Perform maintenance or updates.
- Modify, add, or remove functions.
- Change providers or integrations.
- Temporarily limit service for security, compliance, or capacity reasons.
- Adapt operation to changes made by Meta, telecommunications providers, or other third parties.
When a change materially affects an existing contractual relationship, applicable conditions and legally protected rights will be respected.
17. Suspension and termination
Blackbox may suspend or terminate access when:
- These Terms are breached.
- A competent authority requires it.
- It is necessary to protect systems, users, or third parties.
- Fraud, abuse, or unauthorized access is detected.
- An external platform suspends a necessary integration.
- The service is discontinued.
The user may stop using the channels at any time and request deletion of personal data under the Privacy Policy.
Termination does not eliminate payment obligations, warranties, liabilities, or provisions that by their nature should survive.
18. Disclaimer of warranties
To the extent permitted by law, the digital services are provided “as is” and “as available.”
Blackbox does not warrant that:
- Messages will be immediately received, delivered, or read.
- Third-party channels will always be available.
- The bot will correctly understand every request.
- Preliminary information will be error-free.
- The service will be compatible with every device or configuration.
This section does not exclude mandatory legal warranties or liability that cannot lawfully be limited.
19. Limitation of liability
To the fullest extent permitted by applicable law, Blackbox will not be liable for indirect, incidental, special, or consequential damages arising exclusively from:
- Interruptions or failures of third-party services.
- Transmission errors or delays outside its reasonable control.
- Misuse of accounts or credentials by the user.
- Exclusive reliance on an unconfirmed automated response.
- Content or links supplied by third parties.
Where Blackbox is proven liable, liability will be limited to direct, foreseeable, and actually demonstrated damage, without affecting non-waivable consumer rights.
Nothing in these Terms limits liability for intentional misconduct, gross negligence, personal injury, fraud, breach of mandatory legal duties, or any other liability that cannot be excluded.
20. Indemnity for improper business use
When a person uses the services on behalf of a business, they must indemnify Blackbox against third-party claims directly caused by illegal content, lack of authorization, rights infringement, or fraudulent use attributable to that person or business.
This obligation does not apply where the claim results from acts attributable to Blackbox and does not limit consumer rights.
21. Governing law and dispute resolution
These Terms are governed by the laws of the Republic of Costa Rica.
Before initiating formal proceedings, the parties will seek to resolve a dispute in good faith through written notice describing the issue and requested solution. Blackbox may respond within a reasonable period.
If no solution is reached, the dispute will be heard by the competent courts of Costa Rica, unless mandatory law provides another jurisdiction or mechanism.
Nothing in this section prevents a consumer from contacting competent administrative or judicial authorities or limits non-waivable rights.
22. Changes to these Terms
Blackbox may update these Terms due to legal, technical, commercial, or integrated-platform changes.
The current version will be published with its update date. When a change is material, we may provide notice through our channels or request renewed acceptance where necessary.
Continued use after an update takes effect constitutes acceptance to the extent permitted by law. Changes will not retroactively alter obligations already completed unless agreed or legally required.
23. General provisions
If any provision is invalid or unenforceable, the remaining provisions will continue in effect.
Failure to exercise a right does not waive that right.
Blackbox may assign these Terms as part of a reorganization, merger, acquisition, or business transfer, subject to applicable law. The user may not assign rights or obligations without authorization where doing so affects service delivery.
These Terms, the Privacy Policy, and applicable specific commercial conditions form the agreement governing the digital services.
24. Language
The Spanish version is the controlling version. Any translation is provided for convenience. If there is an interpretive conflict, the Spanish version will prevail unless applicable law requires otherwise.
